Terms of Service

Version 2026-10-07 · Last updated: October 7, 2026

1. Parties and acceptance

These Terms of Service ("Terms") are a binding agreement between Individual Entrepreneur Ivane Paposhvili (identification number 13001060906), registered in the Public Registry of Georgia ("Callopero", "we", "us") and the business that creates an account ("Customer", "you"). Registration details of Callopero are provided on request at support@callopero.com.

You accept these Terms by ticking the acceptance box when you create an account or when you are asked to accept an updated version. We keep a record of the version you accepted, the date and time and the IP address. If you do not accept these Terms, you may not use the service.

The person accepting these Terms confirms that they are at least 18 years old and authorised to bind the business they register.

2. Business use only

Callopero is provided exclusively to businesses, organisations and self-employed professionals for use in their trade, business or profession. It is not offered to consumers. By accepting these Terms you confirm that you act in this capacity.

3. The service

Callopero provides AI employees: a voice assistant with a video avatar for your website and an AI phone operator that answers and places calls either through a SIP telephony account that you obtain and pay for yourself, or through a phone number provided by Callopero. You configure them in the Callopero dashboard.

Phone numbers provided by Callopero are obtained from a licensed telecom carrier (currently Telnyx) for your use with the AI phone operator and accept inbound calls only. The number remains a resource of the carrier: you receive the right to use it while you have a paid Phone AI plan, it cannot be transferred or ported out, and it is released automatically 3 days after your paid Phone AI plan ends, or immediately when you release it.

Emergency calls: numbers provided by Callopero receive calls only and cannot be used to call emergency services (such as 112 or 911). Do not rely on them for emergency calling.

Verification for numbers: the telecom rules of some countries (for example the United Kingdom, Germany, Spain, Poland, Israel, Turkey and Malaysia) require the carrier to identify the business that uses a local number. For such numbers you must provide true, complete and current information and documents of your business (for example company registration, business address with proof of address, and an identity document of an authorised person), and keep them current. You authorise us to pass them to the carrier, which reviews them and may refuse, suspend or withdraw a number. Some countries accept only businesses registered or located in that country. Document files go directly to the carrier; we keep the file names, your answers and the decision for as long as the law of the number country requires and provide them to the carrier or competent authorities on lawful request.

You must not use numbers provided by Callopero for unlawful, fraudulent, abusive or misleading purposes, and you must comply with the acceptable use policy of the carrier (telnyx.com/acceptable-use-policy) and the numbering rules of the number country. You are responsible for any use of your numbers and will compensate us for fines, claims and costs that arise from your breach of these rules or of the information you gave. We may suspend or release a number that is used in breach of these Terms or of the carrier rules.

The features of each plan are those described on the pricing page and in the dashboard at the time you subscribe. We may improve, change or discontinue features; we will tell you in advance about changes that materially reduce what your paid plan includes.

4. Your account and security

You must provide accurate information and keep it up to date. You are responsible for keeping your login details confidential and for all activity in your account, including the instructions, scripts and knowledge you give your AI employees. Tell us immediately at support@callopero.com if you suspect unauthorised access.

5. Acceptable use and compliance

You may not use Callopero to: impersonate another person or company; mislead or defraud anyone; send spam or make unsolicited calls where they are not allowed; call people who asked not to be called; call emergency numbers; make calls outside the hours and rules that apply to you; collect data you are not allowed to collect; process special categories of personal data (for example health data) without a lawful basis; or break any law.

You are solely responsible for: having the right to use the phone numbers and SIP accounts you connect; having a lawful basis to call the people you call and to process the data of your website visitors and callers; informing people, where required, that they are talking to an AI and that the conversation is saved as text; and complying with all telemarketing, consumer-protection, advertising, telecommunication and data-protection laws that apply to your use of the service.

We may suspend the service immediately, without prior notice and without liability, if we reasonably believe that your use breaks these Terms or the law, harms other people or puts the service, our providers or other customers at risk. Where possible we will tell you why and give you the chance to fix the problem.

6. AI output

Answers of AI employees are generated automatically from your instructions and knowledge base and may be incomplete, inaccurate or inappropriate. AI employees may misunderstand speech, names, numbers or languages. Callopero does not review conversations in advance and does not guarantee any particular result, number of leads or sales.

You decide what your AI employees say and promise, and you are responsible for their statements towards your customers. You must not use the service for medical, legal, financial or safety-critical advice, and you should check important information (prices, bookings, contacts) before acting on it.

7. Plans, minutes and payment

A new account gets a free trial of 30 AI minutes for 3 days (whichever ends first). After that, a paid plan is required to continue.

Plans are monthly subscriptions and include a number of AI minutes per billing period. Website conversations are counted by the second and phone calls by the started minute, as measured by our systems; our records are decisive unless you prove an error. When the included minutes are used up, new conversations are paused until you move to a bigger plan or the next period starts, unless your plan includes paid extra minutes.

Prices are shown in the dashboard and on the pricing page, exclusive of any taxes and bank fees. A price change never applies to the current period of an existing subscription. Charges of your telephony provider are billed by that provider, not by Callopero.

Plans are paid by card in US dollars through our payment provider, Bank of Georgia; we never see or store your full card number. When you buy a plan, you authorise us to charge the same card the plan price automatically every month on the same day until you cancel (recurring payment). If an automatic charge fails, we retry up to two more times, one day apart; the plan keeps working meanwhile. If all attempts fail, the plan ends and new conversations stop until you buy a plan again. Amounts invoiced separately (for example extra minutes or setup services) must be paid within the stated term; otherwise we may suspend the service until payment.

8. Cancellation and refunds

You can cancel your subscription at any time in Billing ("Cancel auto-renewal"); it then runs until the end of the period you paid for, is not renewed and your card is not charged again. Payments for a started period and for used minutes are not refundable, except where mandatory law requires otherwise.

If the service was unavailable for a substantial part of a billing period because of our fault, we will, on your written request made within 30 days, credit or refund the affected part of that period. This is your only remedy for unavailability.

Setup services are refunded in full if cancelled before the work has started; after that, the work already delivered is charged. Refund requests: support@callopero.com.

9. Your content and data

You keep all rights to your content: the instructions, scripts and knowledge you add, the conversation transcripts and AI summaries, and the leads your AI employees collect ("Customer Data"). Scripts and texts we create for you in a paid setup service belong to you once paid.

You grant Callopero a non-exclusive licence to host, store and process Customer Data only as needed to provide, secure, support and improve the operation of the service for you. We do not sell Customer Data, do not share your leads with other customers and do not use your conversations to train our own AI models.

You confirm that you have all rights and consents needed for the content you upload and for the data you let the service process. You can export your leads at any time (Leads → Export CSV).

10. Our intellectual property

The Callopero software, website, dashboard, widget, avatars, designs and brand are owned by Callopero or its licensors. You receive a limited, non-exclusive, non-transferable right to use them during your subscription. You may not copy, resell, sub-license, reverse-engineer or build a competing service from them. Suggestions you send us may be used freely.

11. Personal data

For the personal data of your website visitors and callers, you are the controller and Callopero is the processor. We process it only on your documented instructions (your configuration of the service), keep it confidential, protect it with appropriate technical and organisational measures, use only the sub-processors listed in the Privacy Policy, help you answer data-subject requests, notify you without undue delay of a personal-data breach affecting your data, and delete it when you delete it or your account.

A separate data processing agreement (DPA) is available on request at support@callopero.com. Our Privacy Policy describes the processing for which Callopero itself is the controller.

12. Confidentiality

Each party keeps confidential the non-public information it receives from the other (for example pricing agreed individually, technical details, Customer Data) and uses it only for this agreement. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law or a court order.

13. Availability, third parties and force majeure

We aim to keep the service available around the clock, but we do not guarantee that it will be uninterrupted or error-free. The service relies on third-party providers (AI models, real-time media, avatar, hosting, email, and your telephony provider), whose outages, changes or limits are outside our control. A guaranteed uptime (SLA) with service credits is only provided under a separate written agreement for Scale and Enterprise plans.

Neither party is liable for a delay or failure caused by events beyond its reasonable control, including outages of third-party providers or the internet, power failures, cyber-attacks, natural disasters, epidemics, war, civil unrest, strikes or acts of authorities.

14. Disclaimer of warranties

Except as expressly stated in these Terms, the service is provided "as is" and "as available", and Callopero gives no warranties or guarantees of any kind, express or implied, including fitness for a particular purpose, results, accuracy of AI output or uninterrupted operation, to the extent permitted by law.

15. Limitation of liability

To the extent permitted by law, Callopero is not liable for indirect, incidental or consequential damages, lost profits, lost revenue, lost leads or business opportunities, loss of data or reputation, or for statements of AI employees towards your customers.

To the extent permitted by law, the total liability of Callopero arising from or in connection with these Terms and the service, for all claims together, is limited to the fees you actually paid us for the service in the three (3) months before the event giving rise to the claim.

These limitations do not apply to liability that cannot be limited or excluded by law, including liability for damage caused intentionally or by gross negligence.

16. Indemnity

You will defend, indemnify and hold harmless Callopero from and against all claims, fines, damages, losses and costs (including reasonable legal fees) brought by third parties or authorities that arise from: your use of the service in breach of these Terms or the law; your content, instructions or scripts; calls made and data processed on your behalf; or statements of your AI employees towards your customers. We will inform you promptly of such a claim and let you take part in its defence.

17. Term, suspension and termination

These Terms apply from the moment you accept them until your account is deleted. We may terminate the agreement with 30 days' notice, or immediately if you seriously or repeatedly breach these Terms, do not pay, or use the service unlawfully. You can terminate at any time by cancelling your subscription and asking us to delete your account.

After termination your access ends and your data is deleted as described in the Privacy Policy; you should export your leads before that. Sections that by their nature should survive termination (including 9, 10, 12, 14, 15, 16 and 19) remain in force.

18. Changes to these Terms

We may update these Terms. The version and date at the top of this page show the current version. We inform account owners of material changes at least 14 days before they apply and ask them to accept the new version in the dashboard; if you do not accept it, you may cancel before it applies, and continued use after that date means acceptance.

19. Disputes, governing law and language

These Terms are governed by the laws of Georgia. Before going to court, a party must send the other a written claim describing the dispute, and the parties will try in good faith to settle it within 30 days. If they cannot, the dispute is decided exclusively by the courts of Tbilisi, Georgia.

Any claim against Callopero must be brought within one (1) year after the claimant knew or should have known of the circumstances giving rise to it, to the extent permitted by law.

These Terms are written in English. If a translation is made, the English version prevails.

20. General

These Terms, together with the Privacy Policy and any written agreement for your plan, are the entire agreement between the parties about the service and replace earlier discussions. If any provision is found invalid or unenforceable, it is limited to the minimum extent necessary and the remaining provisions stay in force. A failure to enforce a right is not a waiver of it.

You may not transfer this agreement without our written consent; we may transfer it to a successor of our business. Notices to you are sent to the email of your account owner; notices to us must be sent to support@callopero.com. Electronic records, including the record of your acceptance, are valid evidence.
